Terms of Service

These Terms of Service govern access to and use of the Helios Bio Pro LLC website, provider application, approved-account portal, product catalog, documentation, communications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. Product purchases are also governed by our Terms of Sale and Shipping & Returns Policy.
1. Provider-Only Platform
The purchasing portal is intended only for verified healthcare practices and their authorized purchasers. Public access to informational pages does not create purchasing eligibility. You may not misrepresent your identity, professional status, authority, practice information, NPI, license, location, or intended account use. Helios Bio Pro may approve, deny, suspend, or revoke access when information cannot be verified or when necessary to protect the platform, supply chain, or applicable compliance obligations.
2. Account Registration and Security
You agree to provide complete and accurate information and keep it current. Approved access belongs to the verified practice and authorized user identified in the application. Credentials may not be shared, transferred, sold, or used by an unauthorized individual. You are responsible for activity under your account and must notify support@heliosbiopro.com promptly of suspected compromise or material changes to your eligibility.
3. No Medical Advice or Pharmacy Services
Website content, product listings, documentation, and support communications are provided for general professional and purchasing information. They are not patient-specific medical advice and do not establish a provider-patient relationship. Helios Bio Pro does not diagnose, prescribe, select treatment, establish protocols, supervise administration, or replace independent clinical judgment. Helios Bio Pro is not a pharmacy, a 503A compounding pharmacy, or a 503B outsourcing facility.
Statements on this website have not been evaluated by the U.S. Food and Drug Administration unless expressly stated otherwise. No content should be interpreted as representing that a product is FDA-approved or intended to diagnose, treat, cure, or prevent disease.
4. Permitted Use
You may use the Services only for lawful professional and business purposes associated with the approved practice. You may not circumvent access controls; scrape or systematically extract restricted content; interfere with security; introduce malicious code; impersonate another person; use another practice’s credentials; publish restricted pricing; divert products; or use the Services in violation of professional, federal, state, or local requirements.
5. Product and Documentation Information
We work to keep product, batch, testing, availability, shipping, and pricing information accurate, but information may change and may occasionally contain errors. Certificates and reports should be evaluated by reference to the identified product, strength, batch, date, and testing source. The practice remains responsible for its own due diligence, records, compliance, storage, handling, and professional decisions.
6. Intellectual Property
The Services and their non-user content—including text, design, branding, graphics, organization, and software—are owned by or licensed to Helios Bio Pro and protected by applicable intellectual-property laws. Limited access is granted for the approved practice’s internal business use. No content may be copied, republished, sold, reverse engineered, or commercially exploited without written permission, except as allowed by law.
7. Third-Party Services
The Services may rely on third parties for hosting, account functionality, payments, analytics, communications, fulfillment, shipping, or external links. Third-party services are governed by their own terms and privacy practices. Helios Bio Pro is not responsible for an unaffiliated third party’s content, availability, or independent acts, except to the extent required by law.
8. Privacy and Electronic Communications
Our Privacy Policy explains how we handle personal information. Transactional messages may be sent when necessary to administer an application, verification, account, order, shipment, security issue, or support request. Promotional email or text messages will be governed by the consent provided and applicable law; consent to marketing is not a condition of purchase.
9. Service Changes and Availability
We may modify, suspend, or discontinue features, products, documentation, or access to protect security, maintain the platform, address compliance requirements, or operate the business. We do not guarantee uninterrupted or error-free availability. Scheduled maintenance, third-party outages, carrier events, or circumstances outside our reasonable control may affect the Services.
10. Disclaimer and Limitation of Liability
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. Helios Bio Pro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, data, goodwill, or business; or claims resulting from unauthorized access, clinical decisions, misuse, improper handling, or reliance on content outside its stated purpose. Nothing in these Terms limits liability that cannot lawfully be limited.
11. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Helios Bio Pro and its officers, employees, contractors, and affiliates from third-party claims arising from your false application information, breach of these Terms, misuse of the Services, infringement of another’s rights, unauthorized account use, clinical decisions, diversion, or violation of law.
12. Suspension and Termination
We may suspend or terminate access for suspected credential misuse, false information, unauthorized purchasing, diversion, fraud, security threats, nonpayment, violation of these Terms, or legal/compliance concerns. Provisions that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, limitations, indemnification, and dispute terms—will survive.
13. Governing Law and General Terms
These Terms are governed by Nevada law, without regard to conflict-of-law principles, except where applicable law requires otherwise. Venue lies in the state or federal courts serving Clark County, Nevada. If a provision is unenforceable, it will be limited or severed without affecting the remainder. Failure to enforce a provision is not a waiver. These Terms, together with incorporated policies, constitute the agreement governing use of the Services.
14. Changes and Contact
